MEMORANDUM: RATIONALE FOR A RECOMMENDATION TO
INCORPORATE THE
In the pursuance of continuous improvement and strengthening of the management of the Alumni Association and the protection of the interests of its members, the Executive Committee has considered the need to incorporate the Association to reflect the diverse range of activities held under the banner of the Association.
Major concerns of the Committee are:
A special Task Group was established to examine these issues. They have consulted widely with our sister organisations including the CUHK Alumni Association in Sydney, the HKU Alumni Association (Melbourne) and through personal contacts with the legal fraternity. The Constitutions of the sister associations were examined and the Victoria Government Regulations on Incorporation for Non-profit Making Associations was used to guide our deliberation. In the end the Task Group advises that incorporating the Alumni Association will strengthen its legal position and should provide better indemnity to individual members engaging in the running of the Association. It was considered the benefits far outweighed the costs and efforts required for the incorporation. The advice was forwarded to the Executive Committee and was unanimously endorsed on 5 October. As a result, a draft Constitution was prepared and sent to the members 21 days before the AGM. It is expected that members will review the Constitution and vote at the AGM (5 November 2006) to accept the recommendation.
